2. Definitions

• "UnderSports" / "Service" / "Platform" — the cloud-based SaaS product provided by LLC "UnderSports".
• "User" — any individual with a registered UnderSports account.
• "Minor User" — any user under 18 years of age. UnderSports allows accounts for users starting from 2 years old.
• "Organization" — a sports structure created in UnderSports (club, academy, federation, team, etc.).
• "Administrator" / "Admin" — a User who creates an Organization and manages its subscription, billing, access, and data.
• "Coach", "Doctor", "Player", "Staff" — role-based users added to an Organization.
• "Subscription Plan" / "Plan" — a service tier: Free, Plus, Pro, or Enterprise.
• "Paid Period" — the duration of a paid subscription (monthly or yearly).
• "WayForPay" — the payment processor used for subscription payments.

3. Acceptance of Terms

By using UnderSports you confirm that:

• You agree to comply with these Terms and all applicable laws.
• You understand that the Platform may contain personal data of athletes, including minors.
• You are authorized to manage or share your own data or, where applicable, data of minors under your care.
• All information you provide is accurate.
• If you represent an Organization, you confirm that you have the legal right to process athlete data, including minors' data.

4. Service Description

UnderSports provides digital tools that enable sports organizations to:

• manage training schedules
• create athlete profiles
• store athlete and team files
• evaluate athlete and team performance
• track development and physical condition
• manage team structures
• analyze statistics

The Service is available via:

• Web app: https://app.undersports.club
• Mobile apps: iOS and Android (free to download)

UnderSports is delivered under a Software-as-a-Service (SaaS) model.

5. Account Registration & Eligibility

5.1. Registration

Users must create an UnderSports account through the website or mobile applications.

5.2. Age Requirements

• Users of any age may create an UnderSports account, including children starting from 2 years old.
• UnderSports does not verify age during registration.
• Parents/guardians and Organizations are responsible for complying with applicable laws concerning children's data.

5.3. Personal Data Visibility

• No user can access another user's data unless the user explicitly joins an Organization.
• A user joins an Organization only by initiating or explicitly confirming the connection.

6. Organizations and User Roles

6.1. Creating an Organization

After registering, a User may create an Organization. The creator becomes the Administrator.

6.2. Adding Users

Administrators may add existing UnderSports users to the Organization in roles such as:

• Administrator
• Coach
• Doctor
• Player
• Other roles depending on team structure

All users added to an Organization receive access based on the Organization's subscription plan.

6.3. Administrator Responsibilities

Administrators are solely responsible for:

• obtaining parental/guardian permissions for minors
• ensuring lawful processing of personal data
• managing user access and permissions
• maintaining data security within the Organization
• ensuring compliance with local regulations related to minors and athletes

UnderSports is not responsible for Organization-level misuse of data.

7. Subscription Plans

UnderSports offers four Subscription Plans:

• Free
• Plus
• Pro
• Enterprise

Each Plan differs in price, features, user limits, and storage limits. Full details are provided on the Pricing ("Ціни") page.

All users can access UnderSports under the Free plan without time limitations.

8. Payments & Billing

8.1. Payment Provider

Payments are processed securely through WayForPay.

8.2. Supported Payment Methods

• Bank cards
• Apple Pay
• Google Pay

8.3. Billing Period Options

• Monthly
• Yearly (may include a discount shown on the Pricing page)

8.4. Access to Features

Paid plan features become available to the entire Organization after successful payment.

9. Automatic Renewal

• Subscriptions renew automatically at the end of each Paid Period.
• The payment method on file is charged automatically.
• By subscribing, you authorize UnderSports and WayForPay to process recurring payments.
• If you do not want to renew, you must cancel before the renewal date.

10. Failed Payment — 7-Day Rule

If automatic payment cannot be processed:

• The Administrator has 7 days to resolve the issue.

If payment is not completed within 7 days:

• The Organization is downgraded to the Free plan
• All paid features become read-only
• Access to paid features is restored immediately after successful payment.

11. Storage & User Limits

Each subscription plan includes specific limits on:

• number of users
• file storage capacity

Administrators may purchase additional limits through Organization settings. Prices for expansions are listed on the Pricing page.

12. Changing Subscription Plans

12.1. Upgrade (cheaper → more expensive)

• The upgrade takes effect immediately.
• Remaining days of the previous plan are prorated toward the new plan.
• No additional charge is collected at the moment of switching.
• The next billing date is recalculated.

12.2. Downgrade (more expensive → cheaper)

• The Organization remains on the higher plan until the end of the Paid Period.
• The next billing cycle charges the lower plan price.

12.3. Refund Policy

No refunds are provided for:

• plan changes
• cancellation
• switching to the Free plan
• partially used subscription periods

13. Acceptable Use Policy

Users must NOT:

• use the Platform for illegal or harmful activities
• upload offensive, dangerous, or fraudulent content
• violate privacy or data protection laws
• access or attempt to access data without authorization
• reverse-engineer, modify, or copy software components
• misuse athlete or minor data
• interfere with service functionality

UnderSports reserves the right to suspend or terminate accounts violating these Terms.

14. User Data Sharing

• User data remains private until the user explicitly joins an Organization.
• Users control their decision to join an Organization.
• Administrators control internal data permissions within their Organization.
• UnderSports does not grant cross-organization access.

15. Data Protection & Privacy

UnderSports processes data according to applicable Ukrainian law and general digital privacy principles. A separate Privacy Policy describes:

• what personal data is collected
• how it is used
• how it is stored
• rights of users and guardians

By using the Service, you confirm that you have read and agree to the Privacy Policy.

16. Accounts of Minors (Ages 2+)

• UnderSports allows accounts for users aged 2 years and older.
• UnderSports does not verify age during registration.

Responsibility for verifying legal rights to process minor data lies with:

• parents/guardians, and/or
• Organization Administrators

• Administrators must ensure parental consent is obtained before processing minor data.
• UnderSports does not directly interact with minor users.

17. Intellectual Property

All trademarks, logos, software code, databases, interfaces, graphics, and documentation are the exclusive property of LLC "UnderSports". Users may not:

• copy
• modify
• distribute
• create derivative works
• reverse-engineer

any part of the UnderSports Platform without written permission.

18. Disclaimers

The Service is provided "as is", without warranties of any kind. UnderSports does not guarantee:

• improvements in athlete performance
• accuracy of data entered by Users or Organizations
• uninterrupted service availability
• prevention of injuries or physical harm

Organizations and Users are responsible for verifying the correctness of their own data.

19. Limitation of Liability

To the maximum extent permitted by law, UnderSports is not liable for:

• loss of profits
• loss of data
• indirect or consequential damages
• damages caused by inaccurate or misused data
• Organization-level misuse of personal data
• decisions made based on platform information

Total liability is limited to the fees actually paid by the Organization during the preceding 12 months.

20. Termination

UnderSports may suspend or terminate access if:

• these Terms are violated
• payment obligations are not fulfilled
• illegal or harmful activity is detected

Users may terminate use of the Platform at any time by deleting their account or switching to the Free plan.

21. Changes to Terms

• UnderSports may update these Terms periodically.
• Updates will be posted on the website.
• Continued use of the Platform constitutes acceptance of updated Terms.

22. Governing Law

These Terms are governed by the laws of Ukraine. Disputes arising from these Terms shall be resolved in the courts of Ukraine, unless mandatory consumer protection laws require otherwise.
